The ideal candidate will possess strong drafting, writing, and analytical skills, along with excellent attention to detail, organizational abilities, and interpersonal communication. Experience in drafting and negotiating purchase and merger agreements, LLC and LP agreements, and other ancillary transaction documents is essential. The role involves working closely with private equity fund and portfolio company clients, supporting the day-to-day legal needs of these entities. Key responsibilities include: Drafting and negotiating complex transaction documents, including purchase agreements, merger agreements, and related legal documents. Playing a lead role within a collaborative, team-oriented environment, while managing projects and providing strategic legal counsel. Working directly with private equity sponsors and portfolio companies, helping them navigate legal and business decisions. Demonstrating strong business judgment and contributing to clients' long-term strategic goals. Qualifications: Strong legal drafting, writing, and analytical skills. Ability to manage projects, provide legal counsel, and interact with clients effectively in a fast-paced environment. A proven ability to offer business and strategic insights within a legal context. Excellent academic credentials and large firm experience working with private equity sponsors are a plus. Compensation and Benefits: Competitive annual salary range of $310,000 - $365,000, depending on geographic location, experience, and skill set.
